The Issuer was established under Polish law, in particular under the Commercial Companies Code.

 

EKOPARK S.A. was established on 10.12.2014 by transformation from a sole proprietorship. The notarial deed, repertory A no. 8767/2014 was prepared by Notary Ignacy Olszewski. The incorporation of the joint-stock company, the subscription of shares and the adoption of the articles of association took place on 10.12.2014 on the basis of a notarial deed, repertory A no. 8771/2014, which was drawn up by Notary Ignacy Olszewski.

EKOPARK S.A. was entered into the National Court Register on 30.12.2014 by the District Court in Warsaw, 13th Economic Division of the National Court Register under NCR number 0000537011.

Q1 2013

Set up a one-person business specialising in renewable energy sources.

 

Q2 2013

Start of production activities for solar collectors and steel ferrules.

 

Q1 2014
Expansion of logistics facilities, development of staff and remodelling of the company's organisational structure.

 

Q4 2014
Change of the legal form of the Company into a joint stock company.

 

Q1 2015
Opening a promotional point of renewable energy sources in Bielawy Toruń Shopping Centre.  Relocation of the company's headquarters to Warsaw, to Jerozolimskie Avenue.

 

Q4 2015
Launching the second department of the company. Establishment of the first professional demolition brigade.

 

Q1 2016
Further expansion on the demolition market. Purchase of vehicles, power tools and a modern demolition robot.

 

Q2 2016
Expansion of the Company's logistics centre. Construction of two storage halls with an area of 1000 sqm.

 

Q4 2016
Acquisition of a new shareholder in the form of Misfato Holdings Ltd. Expansion of the machinery park, purchase of, among others, trucks, dills, loaders and compressors.  Issue of 782,500 series B shares

 

Q1 2017
Start-up of own vehicle workshop and service of power tools.  Registration of the share capital increase through the issue of series B shares.

 

Q2 2017
First demolition and demolition projects for foreign contractors.

Issue of 849,500 series C shares

 

Q4 2017
Registration of the share capital increase through the issue of series C shares in the National Court Register. Conversion of 1,565,000 series A shares, 782,500 series B shares and 849,500 series C shares, so that - 1,465,000 existing series A bearer shares become 1,465,000 series A registered shares, preference voting at a ratio of 2 votes per share, Page | 49 - 100,000 existing series A shares, and all existing series B and series C shares become 1,732,000 series B ordinary bearer shares.  Issuance of 200,000 series C ordinary shares and 700,000 series D shares.

 

Q1 2018
Signing of a significant contract for the execution of construction works of the Centres for Innovative Education (so-called Minikoperniki). The value of the contract over PLN 11 million.  Participation in the programme "Demolishers" carried out by TVN Turbo.

 

Q2 2018
Signing of a significant agreement for the execution of construction works with the Complex of Upper Secondary Schools in Chełmża. The value of the contract 1.65 million PLN.  Registration of changes in the company's share capital made in Q4 2017.

 

Q3 2018
Registration of an increase in the share capital through the issue of series C and D shares.

IPO on the NewConnect market

 

Q1 2019
Conclusion of an agreement with the Ministry of Investment and Development for funding for the construction of the "EKOPARK Research and Development Centre for the Installation Works Company" - a project worth PLN 13,530,000.00

 

Q3 2019
Successful completion of contracts: - Construction works of the Centres for Innovative Education (so called Mini-Copernicus). Value of the contract over PLN 11 million, - Execution of construction works with the High School Complex in Chełmża. Contract value: PLN 1.65 million.

 

Q1 2020
Conclusion of an agreement with the Polish Agency for Enterprise Development ("PARP") for co-financing of the project "Development of a design project for autonomous bus shelters". - project worth PLN 1,286,088.00.

 

Q4 2020
Winning over to the Company strategic investors for years connected with the market of new technologies, who have experience and relationships in segments of key importance to the Company's development plans.

 

Q1 2021
Submission of 3 grant applications under Horizon 2020 Research and Development for a total amount of: EUR 37.2 million to develop, promote and commercialise the proprietary product - ITK POINT on domestic and foreign markets.

The history of EKOPARK S.A. activity in the Renewable Energy Sources market dates back to 2013. During this period, the Issuer has built technological competence, organizational competence and relationships with key customers. The core business of the Issuer is to carry out activities related to the production of Intelligent Communication Terminals, research and development and installation of Renewable Energy Sources (photovoltaics, heat pumps, solar collectors).

The Company's activities fall into three main categories:

  • Intelligent Transport Terminal (ITK POINT) - production of a breakthrough on the Polish and European market modern, autonomous bus stop, which is at the same time a delivery and reception point (parcel machines, food machines, ATM / cash machine). ITK POINT is also a local information and advertising centre equipped with 5G internet, LED screens and poster boards. The whole facility is powered by Renewable Energy Sources, equipped with a local backup system (energy storage with autonomy of up to 10h) and a charging point for electric devices and vehicles.

  • Research and development - activity within the own Research and Development Centre consisting of the development, improvement, validation, implementation and commercialisation of innovative ways to store heat, cold and electrical energy in cooperation with RES systems.

  • Installation of Renewable Energy Sources - the core scope from which the Company originates - assemblies and services of photovoltaic, heat pump and solar collector installations.

 

Starting from 2021, the Company has permanently abandoned the previous business model closely related to construction and demolition. The Management Board assumes complete concentration of the Company's capacity in the area of modern technologies related to Renewable Energy Sources. The Board declares that the Company's activities are concentrated around the following scopes as follows:

 

  • Intelligent Transport Terminal (ITK POINT) - 45% of resources

  • Research and development - 35% of resources

  • Installation of Renewable Energy Sources - 20% of resources

The company's intention is to start operations in foreign markets. EKOPARK S.A. plans to expand the scale of its operations by reaching foreign markets, mainly the German market, where the company has not been active so far. The labour shortage in Germany has created opportunities for the company to undertake work abroad. Domestic contractors with branches in Germany started to approach the company with a proposal of cooperation on the German side. Consequently, the company began to strengthen its contacts and promote its brand outside Poland, at the same time noticing development opportunities on the German market.

DEVELOPMENT OF INTELLIGENT COMMUNICATION TERMINAL (ITK POINT)

The Issuer's development strategy assumes building the position of a European pioneer in the modernisation of urban infrastructure. The company intends to dominate the market of modern technologies by implementing a product perfectly matching the Smart-City strategy. Intelligent Transport Terminal is a modern, autonomous bus stop, which is at the same time a delivery and reception point (parcel machines, food machines, ATM / cash machine). ITK POINT is also a local information and advertising centre equipped with 5G internet, LED screens and poster boards. The entire facility is powered by Renewable Energy Sources, equipped with a local backup system (energy storage with autonomy of up to 10h) and a charging point for devices and electric vehicles.The company is developing cooperation with suppliers of individual solutions as well as developing an attractive sales model that will allow it to quickly reach 100% of production capacity in building a multi-month portfolio of orders from all over Europe.

DEVELOPMENT OF RESEARCH AND DEVELOPMENT CENTRE

As part of its own Research and Development Centre, the Company intends to develop, improve, implement and commercialise innovative ways to store heat, cold and electrical energy in cooperation with renewable energy systems. The Management Board assumes that the results of the research and development work will be at a breakthrough level within the next few years. Regardless of the above, the Company intends to expand the scope of activities conducted at the Research and Development Centre by participating in new projects, new programmes and undertakings. The management assumes building the EKOPARK R&D Centre brand as a recognised expert in the field of modern technologies.

FINANCIAL REINFORCEMENT AND DEVELOPMENT OF THE COMPANY'S ACTIVITIES IN OTHER AREAS

The Management Board has raised financial and personal capital through share issues and intends to fundamentally strengthen the Company's position in other areas of activity, ensuring its stable development in the coming years. This objective will be achieved by expanding its volume of sales of Renewable Energy Sources - photovoltaics, heat pumps and solar collectors. In addition, the Company is preparing to cooperate with Fire Service units in the field of training on fire extinguishing of photovoltaic installations.
